1. Direct a Video for Penthouse Productions (hereinafter "Penthouse Video Shoot") Affiliate Program Bonus is available to any person (or legal entity) who participated in the affiliate program between July 2008 and September 2008.  An affiliate must have participated in the affiliate program by sending traffic for a minimum of 30 days during this period in order to qualify. You must have at least $1.00 per day of earnings during this period.

2. All qualified affiliates are automatically entered.

3. Employees (and their immediate family members), agents and contractors (other than advertising affiliates) of Various, Inc., including, its subsidiaries, its parent company, Friendfinder Networks Inc. and its affiliated entities (hereinafter collectively "Various") are not eligible to participate.

4. The bonus award is based on the increase in the daily average of "signups" (as defined below) from October 1, 2008 to December 31, 2008 (“Period Two ) compared to your highest month's daily average signups from July 1, 2008 to September 30, 2008 (“Period One ) for the following websites only: FriendFinder, Adult FriendFinder, Out Personals, Alt.com and Cams.com. Signups include those occurring indirectly through other websites where GPID's pass-through, e.g. tube.penthouse.com.

5. The affiliates with the ten largest increases in the daily average signups in Period Two compared to the best daily average for one month in Period One will receive the bonus award in order of improvement listed in paragraph 6. By way of illustration, if you had 1,000 signups in July, your daily average would be 32.26 signups (i.e. 1,000/31). If you had fewer signups in August, which also has 31 days, you would have a lower daily average. Therefore, for comparison purposes, you would use the daily average from July. For Period Two, to compute your daily average, divide the total number of signups by 92 days.

6. The affiliate with the largest increase in the daily average of gets to “direct  a Penthouse Video and will also receive $40,000. The winning director should have an active imagination. In addition, filming will be for up to a 3-day period in Los Angeles. Various will also provide for the airfare reimbursement (economy class), hotel accommodations and meals for three days for the affiliate and guest.

2nd through 10th largest increases will receive the following bonus award:

        2nd: $20,000
        3rd: $16,000
        4th: $12:000
        5th: $8,500
        6th: $7,500
        7th: $5,500
        8th: $4,500
        9th: $3,500
        10th: $2,500

7. The Penthouse Video Shoot must occur on or before March 31, 2009, and the affiliate must provide Various with at least 30-day advance notice to schedule it. The Penthouse Video Shoot date is subject to the availability of Various employees, hotels, airline flights and Penthouse Pets. Affiliate and Various may delay the date of the Party by mutual agreement.
 
8. The affiliates receiving the bonus awards will be announced on or about January 15, 2009.

9. At the affiliate's option, $20,000 may be substituted in place of Penthouse Video Shoot.

10. To be awarded the bonus:

        a. the affiliate website must contain an accurate 2257 compliance link, if applicable;

        b. The affiliate must be in good standing. The affiliate may not receive any bona fide complaints about violations for copyright and unlicensed content, promoting using unsolicited email (i.e. spam) or otherwise using advertising or promotional practices not in compliance with our Affiliate Network Agreement;

        c. The affiliate may not purchase, bid or otherwise use Various' trademarked terms, e.g. alt.com, AFF, Adult FriendFinder, for "keywords" on any search engine, e.g. Google, Yahoo, etc. The complete list is contained in the Affiliate Network Agreement; and

        d. The affiliate may not create profiles on behalf of themselves or third parties.

11. The name of participating affiliates will not be disclosed. However, we reserve the right to publicize the name of the winner of the Penthouse Video Shoot and any other winners. An affiliate may be required to sign a release (of publicity rights) in order to claim the prize.

12. Various has the final interpretation of the Affiliate Network Agreement and the rules of this bonus award.

13. Any and all disputes are governed by California law and subject to mandatory arbitration in accordance with rules and standards JAMS (jamsadr.com) in Santa Clara County. Parties are responsible for their own expenses and legal fees.

14. The affiliate (including any accompanying guests) awarded the Penthouse Video Shoot will defend, indemnify and hold Various harmless for his, her or its actions.   

15. Taxes, if any, on bonus awards are the sole responsibility of the affiliate.

16. A "signup" is defined as person who has completed the registration process by choosing a handle and submitting a profile (except on cams.com). Thereafter, the profile must be approved, and the person must successfully log on to a Various website by using his or her password at least once. No order is necessary.

17.  As the director, the affiliate will contribute to the making of the final video by helping choose the performers, the story line, and the actions of the performers.  The video's producer reserves the right to make the final determination to the video's actual content. The directing affiliate will also receive credit in the final version of the video.
